Finance to support your business purchase
Buying a business brings together a purchase price, a funding requirement and a plan for what happens after completion. We help you explore finance that fits the proposed transaction and your circumstances.
Begin with the whole transaction
We discuss what you are buying, how the deal is structured and what funds you can contribute. We also look at the information available about the business and the cash required beyond the purchase itself.
Our role is to help present a clear borrowing case. Your legal and tax advisers should guide the choice between an asset purchase, share purchase or other ownership structure.
Purchases and ownership changes
We can discuss first business purchases, additional acquisitions, management buyouts and partner buyouts. Each needs its own assessment; a funding structure that works for one purchase may not suit another.
Preparing your proposal
Useful starting information includes the sale particulars, recent accounts, purchase terms, details of your contribution, existing debts and a summary of how you plan to run the business. We help identify the further information needed to approach suitable lenders.
Questions about acquisition finance
Can the loan cover the entire purchase price?
That cannot be assumed. We assess the proposed funding against your circumstances and the business involved, including any contribution and security requirements.
Can seller funding form part of the deal?
If the seller is willing to defer some consideration, tell us early. Any arrangement needs to fit the lender’s requirements and be documented by your legal advisers.
Does an offer mean the transaction is ready to complete?
Not necessarily. The offer may be conditional, and legal, valuation or other transaction work may remain outstanding.
Talk through the business you want to buy
Request a callback to discuss the purchase and your funding plans. Finance is subject to status, lender criteria and assessment. Security and personal guarantees may be required.
